WorldAgents Terms of Service

This agreement is between you and Shapes Corp. If you use WorldAgents for an organization, you represent that you have authority to accept this agreement for that organization. In that case, "you" includes both you and the organization.

By creating an account, signing in, installing an app, joining a pilot, or otherwise using WorldAgents, you agree to this agreement. If you do not agree, do not use WorldAgents.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use WorldAgents. This requirement also applies to guest sessions and access through published agents or shared links. You may not make WorldAgents available through deployments directed toward or likely to be accessed by people under 18.

If a signed order form, statement of work, data processing agreement, or other written agreement expressly conflicts with this agreement, that written agreement controls to the extent of the conflict.

Shapes Corp grants you a limited, non-exclusive, non-transferable, revocable license to access and use WorldAgents for personal or internal business, testing, design, development, and deployment purposes, subject to this agreement, applicable order forms, product documentation, and the plan or pilot terms that apply to your account.

The software is licensed, not sold. We may provide updates, fixes, experiments, beta features, and changes to the service. Those updates are covered by this agreement unless we provide separate terms.

You are responsible for your account credentials, invited users, organization settings, files, agents, spaces, and activity under your account. You must provide accurate account information and keep it current.

Organization administrators may manage members, shared content, billing settings, deployment settings, and other organization data. If your account is provided by an organization, that organization may control or access information associated with your use of the organization workspace.

You retain any ownership rights you have in the content you upload, submit, stream, generate, or store through WorldAgents, including agent instructions, prompts, files, images, audio, video, transcripts, maps, spaces, semantic layers, annotations, simulation data, and generated assets.

You grant Shapes Corp a worldwide, non-exclusive, royalty-free license, sublicensable only to service providers used to operate WorldAgents, to host, copy, process, transmit, display, transform, and create technical derivatives of that content as needed to provide, secure, support, maintain, improve, and troubleshoot WorldAgents. This license does not transfer ownership of your customer content to Shapes Corp.

If you publish an agent, space, or other content, that content and the materials you make available through it may be accessed by others according to your sharing settings. You are responsible for having the rights and permissions needed to publish those materials.

Use of non-public customer content to train models for general use requires authorization through a separate agreement, an enabled product setting, or written permission.

You are responsible for having the rights, permissions, notices, and consents needed for the content you provide, including content that contains personal information, confidential information, voice, video, device position or orientation, gaze or depth estimates, third-party intellectual property, or location and spatial data.

WorldAgents can use AI models, realtime audio and video, computer vision, spatial mapping, simulation, localization, recognition, and generated assets. Outputs may be incomplete, inaccurate, unsafe for a particular context, or different across runs.

You are responsible for reviewing outputs and deciding whether they are appropriate for your use case. Do not rely on WorldAgents as the sole basis for safety-critical, emergency, medical, legal, financial, employment, or other high-impact decisions unless you have implemented appropriate human review, validation, controls, and independent compliance review.

You must provide legally required notices and obtain legally required permissions or consents before using WorldAgents to capture, monitor, record, or analyze people, including employees, visitors, customers, and bystanders.

You may not do any of the following, or assist others in doing so:

WorldAgents may interoperate with third-party services, model providers, cloud infrastructure, analytics, authentication providers, app stores, device platforms, wearable device SDKs, and customer-selected integrations. Those services may be governed by their own terms and privacy notices.

We are not responsible for third-party products or services that are not controlled by Shapes Corp. Your use of an app store, device, model provider, or integration may require a separate account or agreement.

Paid plans, pilots, custom work, usage limits, renewal terms, and fees are governed by the applicable checkout flow, order form, statement of work, or written agreement. Fees are non-refundable except as required by law or stated in the applicable agreement.

Free, trial, pilot, beta, preview, and experimental features may be changed, suspended, limited, or discontinued at any time. Beta features may be less reliable and may not be covered by all support, security, or availability commitments.

Except for your customer content, Shapes Corp and its licensors own all rights in WorldAgents, including software, interfaces, workflows, models, documentation, trademarks, service marks, and product design.

As between you and Shapes Corp, and to the extent permitted by applicable law, you retain your rights in your inputs and own the outputs generated for you, and Shapes Corp assigns to you any rights it may have in those outputs. Outputs may not be unique, other users may receive similar outputs, and applicable law may not recognize intellectual property rights in all outputs.

If you provide ideas, feedback, bug reports, or suggestions, you grant Shapes Corp a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.

Our Privacy Policy explains how we collect, use, disclose, and protect personal information in connection with WorldAgents.

You may stop using WorldAgents at any time. If your access is governed by an order form or other written agreement, the term and termination provisions of that agreement control.

We may suspend or terminate access if we reasonably believe you violated this agreement, created security or legal risk, failed to pay fees, or used WorldAgents in a way that could harm Shapes Corp, users, third parties, or the service. Except where the risk requires immediate action, we will give notice and a reasonable opportunity to cure before terminating, will prefer a targeted suspension over termination, will limit a suspension to the affected users, agents, or features where practical, and will restore access promptly once the issue is resolved.

After termination, your license ends. For at least 30 days after termination, unless law or security requires otherwise, we will provide a reasonable opportunity to export your customer content on request. Sections that by their nature should survive will survive, including ownership, restrictions, payment obligations, disclaimers, limitations of liability, indemnity, and dispute terms.

To the maximum extent permitted by law, WorldAgents is provided "as is" and "as available." Shapes Corp disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

We do not warrant that WorldAgents will be uninterrupted, error-free, secure, or that outputs, spatial results, simulations, localizations, recognitions, transcripts, or generated assets will be accurate or suitable for your intended use.

This section does not limit any express commitments we make in a signed order form, statement of work, service level agreement, or other written agreement with you, and it does not exclude warranties that cannot be excluded under applicable law.

To the maximum extent permitted by law, Shapes Corp will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services.

To the maximum extent permitted by law, Shapes Corp's total liability for any claim relating to this agreement or WorldAgents will not exceed the greater of the amount you paid to Shapes Corp for WorldAgents in the twelve months before the event giving rise to the claim or one hundred U.S. dollars.

Nothing in this agreement excludes liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or gross negligence where applicable law prohibits such exclusion.

You will defend and indemnify Shapes Corp, its affiliates, officers, directors, employees, contractors, and agents against third-party claims to the extent arising from: (a) your customer content infringing or violating third-party rights; (b) your deployment or use of WorldAgents in violation of applicable law; or (c) your material breach of this agreement.

Shapes Corp will promptly notify you of the claim, provide reasonable cooperation at your expense, and allow you to control the defense and settlement. You may not settle a claim in a manner that admits liability by Shapes Corp or imposes obligations on Shapes Corp without its consent.

You must comply with applicable laws, export controls, sanctions rules, privacy laws, and platform requirements when using WorldAgents.

This agreement is governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Except where applicable law allows you to bring a claim elsewhere, any dispute arising out of or relating to this agreement or WorldAgents will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and each party consents to personal jurisdiction and venue in those courts. Nothing in this paragraph limits rights that cannot be waived under applicable law.

We may update this agreement prospectively from time to time. If a change materially affects your rights or obligations, we will provide reasonable advance notice through the service or by notifying you or your account administrator, unless an earlier change is required by law or for security. Continued use after the effective date means you accept the updated agreement; if you do not agree, you must stop using WorldAgents.

If any provision of this agreement is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations. This agreement, together with the documents it references and any signed written agreements, is the entire agreement between you and Shapes Corp about WorldAgents.
